Terms of Service

1. Introduction & Scope
These Terms of Service ("Agreement") are a binding contract between you ("you" or "User") and BuzzBoard, Inc. ("BuzzBoard," "we," or "us"), a Delaware corporation headquartered at 345 California St., Suite 600, San Francisco, CA 94104. They govern your access to and use of Zylo (ZYLO⁵), including the website at zylo5.com, the Zylo platform, all related APIs, and any content or services delivered through them (collectively, the "Service").
By creating an account, accessing the Service, or clicking "I Agree," you accept this Agreement. If you do not agree, do not use the Service.
Plain-language summary
Zylo is an autonomous marketing platform built by BuzzBoard. This agreement covers what you can expect from us, what we expect from you, and how disputes are handled. It works alongside our Privacy Policy, which explains how we handle your data.
2. What Zylo Does
Zylo is an AI-powered, autonomous marketing platform designed for small businesses. Zylo creates, schedules, and publishes marketing content across channels — including social media, paid advertising, review management, email, and search — on your behalf, automatically. To do this, Zylo learns about your business by scanning your website and uses that understanding to produce content that matches your voice, visual identity, and offers.
You review and approve content before it goes live. Zylo acts on your instructions; it does not publish without your authorization unless you enable fully autonomous scheduling.
About AI-generated content
Zylo uses artificial intelligence to generate text, images, ad copy, and other marketing materials. While we design our systems to produce accurate, brand-consistent output, AI-generated content may occasionally contain errors. You are responsible for reviewing content before publication and for the accuracy of anything published on your behalf through the Service.
3. Your Account
3.1 Eligibility
You must be at least 18 years old and have the legal authority to enter into this Agreement. If you use Zylo on behalf of a business, you represent that you have the authority to bind that business.
3.2 Account Security
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately at support@buzzboard.com if you suspect unauthorized access.
3.3 Account Data
To set up your account, Zylo scans publicly available information from your website to learn about your business. You confirm that you own or have the right to use the content on that website. Our collection and use of your data is governed by our Privacy Policy.
4. Subscription, Billing & Cancellation
4.1 Plans & Pricing
Zylo is offered on a subscription basis. Current plans and pricing are published at zylo5.com/zylo-pricing. We may update pricing with at least 30 days' notice before your next billing cycle.
4.2 Free Trial
If we offer a free trial, your access will convert to a paid subscription at the end of the trial period unless you cancel before the trial expires. No credit card is required to start a trial unless otherwise stated.
4.3 Billing
Subscriptions are billed in advance on a recurring basis (monthly or annually, depending on your plan). All fees are non-refundable except as expressly stated in this Agreement or as required by applicable law.
4.4 Cancellation
You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. You retain access to the Service until that period ends. We do not provide prorated refunds for partial periods.
5. Acceptable Use
5.1 Prohibited Activities
You agree not to use the Service to:
- Publish content that is unlawful, defamatory, fraudulent, obscene, or that infringes any third party's rights
- Misrepresent your identity, your business, or your relationship with any person or entity
- Send unsolicited commercial messages (spam) through Zylo's email or messaging features
- Interfere with or disrupt the Service, or attempt to gain unauthorized access to any systems or networks
- Use the Service to generate content for purposes other than marketing your own business (or a business you are authorized to represent)
- Reverse-engineer, decompile, or attempt to extract the source code of the Service
- Resell or redistribute access to the Service without BuzzBoard's written consent
We reserve the right to suspend or terminate your account if you violate this section, with or without prior notice depending on the severity of the violation.
5.2 Content Responsibility
You are solely responsible for all content published through the Service on your behalf, including content generated by Zylo's AI. While Zylo is designed to produce accurate, brand-consistent marketing materials, you are responsible for reviewing, approving, and ensuring the accuracy and legal compliance of all content before and after publication.
6. Intellectual Property
6.1 Your Content
You retain ownership of the content you provide to Zylo — including your website content, logos, images, and business information. By using the Service, you grant BuzzBoard a limited, non-exclusive, worldwide license to use, reproduce, and display your content solely to operate and improve the Service on your behalf.
6.2 Zylo-Generated Content
BuzzBoard retains all intellectual property rights in content generated by the Service, including social posts, ad copy, email campaigns, images, and review responses ("Generated Content"). Subject to your compliance with this Agreement, BuzzBoard grants you a perpetual, non-exclusive, worldwide, royalty-free license to use, copy, modify, publish, and distribute Generated Content for any lawful business purpose related to your business. This license survives termination of your account.
You acknowledge that Generated Content may not be unique to your account. The Service may produce the same or similar content for other users, including businesses in the same industry or geography. BuzzBoard is not liable for any similarity between content generated for different users.
6.3 The Service Itself
BuzzBoard retains all rights in the Zylo platform, including its software, algorithms, models, user interface, and documentation. Nothing in this Agreement transfers ownership of the Service to you.
7. Third-Party Services & AI Providers
7.1 Platform Integrations
Zylo connects to third-party services on your behalf — including Google Ads, Meta (Facebook/Instagram), Google Business Profile, and others. Your use of those services is subject to their own terms and policies. BuzzBoard is not responsible for the availability, performance, or policies of any third-party platform. If a third-party platform changes its terms or APIs in a way that affects Zylo's functionality, we will work to adapt but cannot guarantee uninterrupted service on those channels.
7.2 Third-Party AI Service Providers
Zylo may use third-party AI service providers to generate, optimize, or enhance marketing content and other features of the Service. When this occurs, your business information and content inputs may be transmitted to and processed by these providers solely to deliver the Service to you. BuzzBoard selects AI providers that maintain commercially reasonable security and confidentiality standards. These providers are contractually prohibited from using your data for their own model training or for any purpose other than performing services on BuzzBoard's behalf.
8. Disclaimer of Warranties
The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, BuzzBoard disclaims all warranties — express, implied, or statutory — including warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy of AI-generated content.
We do not warrant that:
- The Service will be uninterrupted, timely, secure, or error-free
- AI-generated content will be free from inaccuracies or suitable for your specific needs without review
- Results obtained through the Service (including ad performance, engagement, or revenue) will meet your expectations
- Errors in the software will be corrected within any particular timeframe
9. Limitation of Liability
To the maximum extent permitted by applicable law, BuzzBoard's total aggregate liability for any claims arising out of or related to this Agreement or the Service shall not exceed the total fees you paid to BuzzBoard in the twelve (12) months preceding the event giving rise to the claim.
In no event will BuzzBoard be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, business, or goodwill — regardless of the theory of liability, even if BuzzBoard has been advised of the possibility of such damages.
10. Indemnification
You agree to indemnify and hold harmless BuzzBoard, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) content you provide or publish through the Service; (c) your violation of this Agreement; or (d) your violation of any applicable law or third-party rights.
11. Termination
Either party may terminate this Agreement at any time. You may terminate by canceling your subscription (see Section 4.4). BuzzBoard may terminate or suspend your access immediately if you breach this Agreement, if required by law, or if we discontinue the Service.
Upon termination, your right to use the Service ceases. We will make your data available for export for 30 days following termination. After that period, we may delete your account data in accordance with our Privacy Policy.
12. Governing Law & Dispute Resolution
This Agreement is governed by the laws of the State of California, without regard to its conflict-of-law provisions. Any disputes arising under this Agreement shall be resolved in the state or federal courts located in San Francisco County, California, and you consent to personal jurisdiction in those courts.
12.1 Informal Resolution
Before filing any formal proceeding, you agree to contact us at support@buzzboard.com and attempt to resolve the dispute informally for at least 30 days.
12.2 Arbitration
If the dispute cannot be resolved informally, either party may elect binding arbitration administered by JAMS under its Streamlined Arbitration Rules, with the arbitration conducted in San Francisco, California. Each party bears its own costs, and the arbitrator's decision is final and binding.
12.3 Arbitration Opt-Out
You may opt out of the arbitration provision within 30 days of first accepting this Agreement. To opt out, send a written notice to support@buzzboard.com with your full name, the email address associated with your account, and a clear statement that you wish to opt out of arbitration. If you opt out, disputes will be resolved in the state or federal courts in San Francisco County, California, as described above. Opting out of arbitration does not affect any other provision of this Agreement.
12.4 Class Action Waiver
You agree that any dispute resolution proceedings will be conducted only on an individual basis, not as a class, consolidated, or representative action.
13. Changes to This Agreement
We may update this Agreement from time to time. If we make material changes, we will notify you by email or by posting a notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Agreement. The "Last Updated" date at the top of this page reflects the most recent revision.
14. General Provisions
This Agreement, together with the Privacy Policy, constitutes the entire agreement between you and BuzzBoard regarding the Service. If any provision is found unenforceable, the remaining provisions remain in full effect. BuzzBoard's failure to enforce any provision does not waive its right to do so in the future. You may not assign or transfer this Agreement without our written consent. BuzzBoard may assign this Agreement in connection with a merger, acquisition, or sale of assets.
